PRIIPs KID Delivery in Private Banking: The Article 13 Rule
Regulation (EU) No 1286 2014 of 26 November 2014 on key information documents for packaged retail and insurance-based investment products (the “PRIIPs Regulation“) sets one mandatory sequence. Article 13(1) of the PRIIPs Regulation controls delivery timing. The Key Information Document (“KID”) must be provided in good time before the retail investor is bound. That is a pre-commitment control, not a formality.
PRIIPs KID Delivery: Three Article 13 Checks
Confirm retail status and PRIIP scope first. Article 4 of the PRIIPs Regulation defines the product perimeter. Investment products with indirect exposure to underlying assets may fall within scope. Legal form does not alter that analysis.
Treat the KID as pre-contractual disclosure. Article 6 of the PRIIPs Regulation requires a standalone document. That document must remain separate from marketing materials. Article 14 of the PRIIPs Regulation requires free delivery.
Apply the timing criteria. Article 17 of Commission Delegated Regulation (EU) 2017 653 of 8 March 2017 sets the assessment standard. The adviser or seller assesses investor knowledge, product complexity and investor-led urgency.
Article 13(3) of the PRIIPs Regulation provides a limited exception for situations where communication takes place at a distance. It does not remove the general requirement to provide the KID before the investor is bound. Private banking teams document the delivery channel, timing and rationale before commitment.
