<p class="wp-block-paragraph">The recent two-year delay for certain CSRD reporting requirements isn’t a pause button—it’s a strategic recalibration point. The “Stop-the-Clock Directive” has shifted the timeline, but not the fundamental trajectory. For boards in Luxembourg, this period is a critical opportunity to move beyond a compliance mindset and integrate sustainability into the core of corporate strategy.</p>



<p class="wp-block-paragraph"><strong>A Nuanced Timeline Demands a Tailored Strategy</strong> </p>



<p class="wp-block-paragraph">The delay primarily affects third-country undertakings and certain large undertakings not previously under the Non-Financial Reporting Directive (NFRD), pushing their first reporting year to 2027 (for the 2026 financial year). However, for the first wave of large, listed entities already under NFRD, the clock is still ticking for reporting in 2025 on their 2024 data. This staggered timeline means there is no one-size-fits-all approach. Each board must assess its specific deadline and craft a bespoke roadmap.</p>



<p class="wp-block-paragraph"><strong>Double Materiality: The Central Challenge</strong> </p>



<p class="wp-block-paragraph">As highlighted by recent CSSF findings from its review of early reporters, the Double Materiality Assessment remains the most significant practical hurdle. It is not a box-ticking exercise but an ongoing process of stakeholder engagement and data analysis to determine what is material to the company’s impacts, risks, and opportunities. Getting this right is the foundation of a defensible and value-additive CSRD report.</p>



<p class="wp-block-paragraph"><strong>The Audit Committee: An Expanded Oversight Remit</strong> </p>



<p class="wp-block-paragraph">One of the most transformative aspects of CSRD is the requirement for third-party assurance. Under the current limited assurance regime, sustainability reporting moves from a communications or marketing function into the oversight remit of the Audit &amp; Risk Committee. The committee’s role is expanded, requiring deeper diligence and expertise in non-financial data, verification processes, and internal controls, with the prospect of further evolution toward reasonable assurance in the future.</p>

<p class="wp-block-paragraph">Le récent report de deux ans pour certaines obligations de reporting CSRD n’est pas une pause, mais un point de recalibrage stratégique. La directive « Stop-the-Clock » a modifié le calendrier, mais pas la trajectoire de fond. Pour les conseils d’administration au Luxembourg, cette période est une opportunité essentielle pour dépasser une logique de pure conformité et intégrer la durabilité au cœur de la stratégie d’entreprise.</p>



<p class="wp-block-paragraph"><strong>Un calendrier nuancé exige une stratégie sur mesure</strong> </p>



<p class="wp-block-paragraph">Le report concerne principalement les entreprises de pays tiers et certaines grandes entreprises qui n’étaient pas encore soumises à la NFRD, repoussant leur premier reporting à 2027 (sur l’exercice 2026). Cependant, pour la première vague de grandes entités cotées déjà soumises à la NFRD, l’échéance de 2025 pour le reporting sur les données 2024 reste d’actualité. Ce calendrier échelonné implique qu’il n’y a pas d’approche unique ; chaque conseil doit évaluer son échéance spécifique et définir une feuille de route adaptée.</p>



<p class="wp-block-paragraph"><strong>La double matérialité : le défi central</strong> </p>



<p class="wp-block-paragraph">Comme le soulignent les récentes conclusions de la CSSF après son examen des premiers rapports, l’évaluation de la double matérialité demeure l’obstacle pratique le plus important. Il ne s’agit pas d’un simple exercice de conformité, mais d’un processus continu de dialogue avec les parties prenantes et d’analyse de données pour identifier les impacts, risques et opportunités matériels. Une évaluation réussie est le socle d’un rapport CSRD solide et créateur de valeur.</p>



<p class="wp-block-paragraph"><strong>Le comité d’audit : un périmètre de surveillance élargi</strong> </p>



<p class="wp-block-paragraph">L’un des aspects les plus transformateurs de la CSRD est l’exigence d’une assurance par un tiers. Dans le régime actuel d’assurance limitée, le reporting de durabilité bascule de la sphère de la communication vers le périmètre de supervision du comité d’audit et des risques. Le mandat du comité est élargi, exigeant une diligence et une expertise accrues en matière de données non financières, de processus de vérification et de contrôles internes, avec la perspective d’une évolution future vers une assurance raisonnable.</p>
